Marcin is a member of corporate law, mergers and acquisitions (M&A) and family business/private client departments of PwC Legal.
Marcin specializes in a wide scope of transaction advisory at all stages of the transaction process, both on the buyers' and sellers' side. He has experience in preparing and negotiating transaction documentation (including share purchase agreements, enterprise purchase agreements, shareholder agreements, investment agreements, joint venture agreements), pre-transaction documentation (including NDAs, letters of intent, exclusivity agreements), financing (including acquisition credit facility, collateral documentation, escrow accounts), conducting and supervising due diligence investigations (including vendor due diligence, confirmatory due diligence).
Marcin also provides ongoing corporate law services to companies. He supports clients in structuring and implementing legal reorganizations, including those of cross-border nature, such as mergers, demergers, transformations of companies, in-kind contributions of enterprises/ their organized parts, share-for-share. He has also advised on obtaining private financing, including through the issue of corporate bonds.
As a member of the family business/private client practice, Marcin supports Polish family businesses in succession planning projects involving implementation of transfer of family assets and companies to successors, also with the use of foreign family foundation. He has participated in numerous succession workshops and family constitution drafting projects.
He also provides on-going advisory services to clients in the course of their business activities, in particular in the field of commercial and civil law (including drafting, reviewing and negotiating commercial contracts, license agreements, cooperation agreements, management contracts).
He is an advocate. He graduated with honors from the Faculty of Law and Administration of the University of Warsaw and the Center for American Law organized with the University of Florida, Frederic G. Levin College of Law.
